Form 1120S: S Corporation Returns

S corporations pass income through to shareholders, but the return itself has to be right. For calendar-year companies, Form 1120S is generally due March 15.

  • Reasonable compensation reviewed, one of the IRS's top audit issues for S corporations.
  • Shareholder basis and distributions tracked to avoid unexpected taxable gains.

Form 1065: Partnership & LLC Returns

Partnerships and multi-member LLCs file Form 1065 and issue a K-1 to each partner. For calendar-year partnerships, the return is generally due March 15.

  • Partner K-1s with each partner's share of income, deductions, and credits.
  • Guaranteed payments and partner draws handled correctly.
  • Capital accounts maintained and reconciled year to year.
  • Ownership changes, new partners, and buyouts reported properly.

Form 1120: C Corporation Returns

C corporations pay tax at the entity level at a flat 21% federal rate. For calendar-year corporations, Form 1120 is generally due April 15.

  • Dividends, retained earnings, and shareholder loans.
  • Estimated tax payments to avoid underpayment penalties.

Forms 941 & 940: Payroll Tax Returns

Payroll taxes are the IRS's top collection priority. Unpaid trust fund taxes can become a personal liability for owners through the Trust Fund Recovery Penalty.

  • Form 941: quarterly federal withholding, Social Security, and Medicare, generally due April 30, July 31, October 31, and January 31.
  • Form 940: annual federal unemployment (FUTA) tax, generally due January 31.
  • Reconciliation of payroll returns with W-2s and deposits.
  • Catch-up filings for missed quarters, plus help resolving payroll tax debt.

Business Tax Return FAQs

When are business tax returns due?

For calendar-year businesses, Forms 1120S and 1065 are generally due March 15 and Form 1120 is generally due April 15. Form 941 is due quarterly and Form 940 is due January 31. Weekends and holidays can shift these dates.

Can I get an extension for my business return?

Yes. Form 7004 generally gives an automatic six-month extension to file Forms 1120, 1120S, and 1065. An extension gives you more time to file, not more time to pay.

My books aren't done. Can you still prepare my return?

Yes. We can clean up your records or work with your bookkeeper so the return is built on accurate numbers.

We're behind on payroll tax filings. Can you help?

Yes. We prepare missing Forms 941 and 940 and, if there's a balance, our tax resolution team can negotiate with the IRS and help protect owners from the Trust Fund Recovery Penalty.

Do you prepare the owners' personal returns too?
